Our Service Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and 7Arx Digital Marketing ABN 81 202 430 642 ("we," "our," or "us"). By engaging our services, accessing our website, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

7Arx Digital Marketing provides comprehensive digital marketing services including but not limited to search engine optimization (SEO), website design and development, content creation, digital strategy consulting, and related marketing services ("Services").

All services are customized based on individual client needs and requirements as outlined in our service proposals, contracts, or statements of work. Service specifications may vary based on client industry, business size, budget, and specific objectives.

Client Obligations and Responsibilities
2.1 Information and Access Requirements
To deliver effective services, clients must provide:

Business Information
- • Accurate business details
- • Target audience information
- • Competitor analysis data

Content and Assets
- • High-quality images and videos
- • Product or service descriptions
- • Legal and compliance requirements
- • Industry-specific information
- • Testimonials and case studies
2.2 Client Cooperation Requirements
- • Timely Response: Respond to requests for information within 5 business days
- • Approval Process: Review and approve deliverables within agreed timeframes
- • Communication: Participate in scheduled meetings and maintain open communication
- • Feedback: Provide constructive and specific feedback on work products
- • Changes: Communicate any business changes that may affect our services
2.3 Prohibited Activities
Clients are prohibited from:
- • Requesting or implementing black-hat SEO techniques
- • Engaging in fraudulent or deceptive marketing practices
- • Violating intellectual property rights or copyright laws
- • Distributing illegal, harmful, or offensive content
- • Interfering with our work or contradicting our strategies without consultation
Payment Terms and Billing
3.1 Payment Structure
Monthly Retainer Services

Project-Based Services

3.2 Payment Terms and Conditions
Monthly Retainer Services
Payment is due monthly in advance. First payment is required before service commencement. Subsequent payments are due on the same date each month.
Project-Based Services
50% deposit required to commence work, with remaining balance due upon project completion or as per agreed milestone schedule.
Payment Methods
We accept bank transfer, credit card payments, and direct debit. All payments must be made in Australian dollars (AUD).
3.3 Late Payments and Suspension
- • Grace Period: 7 days after due date before late fees apply
- • Late Fees: 2% per month on overdue amounts
- • Service Suspension: Services may be suspended after 14 days overdue
- • Collection Costs: Client responsible for reasonable collection costs
- • Termination: Persistent late payment may result in service termination
3.4 Refund Policy
Due to the nature of digital marketing services, refunds are generally not available once work has commenced. However, we will consider refund requests on a case-by-case basis for unused portions of prepaid services, provided no work has been performed. Any approved refunds will be processed within 30 business days.
Intellectual Property and Ownership
4.1 Client-Owned Materials
Clients retain full ownership of all pre-existing intellectual property including business names, trademarks, logos, brand materials, and content provided to us for use in our services.
4.2 Work Product and Deliverables

7Arx Retains Rights To
- • Proprietary methodologies and processes

- • Analytical techniques and approaches
4.3 Third-Party Materials
We may use third-party tools, plugins, templates, or stock materials in our work. These remain subject to their respective licensing terms. Clients are responsible for obtaining necessary licenses for any third-party materials they request us to use.
4.4 Portfolio and Case Study Rights
Unless otherwise agreed in writing, 7Arx retains the right to showcase completed work in our portfolio, case studies, and marketing materials. We will maintain confidentiality of sensitive business information and seek approval before publishing detailed case studies.
Liability and Risk Management
5.1 Service Performance Disclaimers
No Guarantee of Results
While we employ industry best practices and proven strategies, we cannot guarantee specific outcomes including but not limited to:
- • Search engine ranking positions
- • Website traffic increases
- • Lead generation or sales volumes
- • Social media engagement levels
- • Return on investment (ROI) figures
5.2 Limitation of Liability
To the maximum extent permitted by Australian law, 7Arx's total liability for any claims arising from our services is limited to the total amount paid by the client in the 12 months preceding the claim.
We Are Not Liable For
- • Search engine algorithm changes
- • Third-party platform policy changes
- • Technical issues beyond our control
- • Client's failure to follow recommendations
- • Competitor actions or market changes
- • Force majeure events
Consequential Damages Excluded
- • Lost profits or revenue
- • Business interruption losses
- • Reputation or goodwill damage
- • Indirect or punitive damages
- • Third-party claims
- • Data loss or corruption
5.3 Client Indemnification
Clients agree to indemnify and hold harmless 7Arx from any claims, damages, or expenses arising from: (a) client's breach of these terms, (b) client's violation of any law or third-party rights, (c) content or materials provided by client, or (d) client's use of our services in a manner inconsistent with our recommendations.
Termination and Suspension
6.1 Termination by Client
Monthly Services
30 days written notice required. Services continue until end of paid period. No refund for partial months.
Project-Based Services
Termination possible at any time. Client responsible for payment of work completed plus 50% of remaining project value.
6.2 Termination by 7Arx
We reserve the right to terminate services immediately for:
- • Non-payment: Failure to pay invoices within 30 days of due date
- • Breach of Terms: Violation of any provision of these terms
- • Illegal Activities: Engagement in illegal or unethical business practices
- • Abusive Conduct: Harassment or abuse of our staff
- • Incompatible Goals: Client objectives contrary to ethical marketing practices
6.3 Effects of Termination
Upon Termination:
- • All outstanding invoices become immediately due
- • Access to our systems and tools will be revoked
- • Client work product will be delivered upon full payment
- • Confidentiality obligations survive termination
- • Transition period of up to 30 days may be provided
- • Domain and hosting transfers require separate arrangements
Confidentiality and Data Protection
7.1 Mutual Confidentiality
Both parties agree to maintain confidentiality of sensitive information shared during the business relationship. This includes business strategies, financial information, customer data, technical specifications, and proprietary methodologies.
7.2 Data Protection Compliance
Our data handling practices comply with:
- • Australian Privacy Act 1988
- • Australian Privacy Principles (APPs)
- • General Data Protection Regulation (GDPR) where applicable
- • Industry best practices for data security
7.3 Data Breach Notification
In the unlikely event of a data breach affecting client information, we will notify affected clients within 72 hours of discovery and take immediate remedial action in accordance with applicable privacy laws.

8.2 Governing Law
These Terms are governed by the laws of Queensland, Australia. Any legal proceedings must be commenced in the courts of Queensland, and both parties consent to the jurisdiction of these courts.
General Provisions
9.1 Amendments and Updates
We reserve the right to update these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before taking effect. Continued use of our services after changes constitutes acceptance of updated Terms.
9.2 Force Majeure
Neither party will be liable for delays or failures in performance due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or pandemic-related restrictions.
9.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
